Individually called Party A and Party B respectively and/or the “Party” and together, called the “Parties”.

一、經過友好協商和在公平、平等的原則基礎上，雙方約定如下︰

三、保管約定/Commitment

1)    甲方將如上的模具寄存於乙方。所有寄存模具的所有權歸甲方所有。非經甲方書面同意， 

乙方不得為自己或他人複製或仿製該模具。

Party A puts the above molds in Party B. The ownership of the storage molds belongs to Party A. Party B cannot copy or imitate the molds for itself or for others without the written permission of Party A.

2)    乙方承諾不去掉寄存模具上的名稱和標記，並將這些寄存模具與其它企業的物品分開

存放，使這些寄存模具能夠很容易地被辨別出來。

Party B promises not to remove the name and marks on the storage molds and keep them separately with other items in order that they can be identified easily.

3)    任何寄存於乙方的本約模具只能由受過專門培養訓練的員工使用和操作。除正常磨損外，

乙方承諾對這些寄存模具進行維護以使其保持良好的狀態，且保管期間發生的一切費用由乙方承擔。在保管或使用這些寄存模具時，乙方要為這些模具投保，保險金額應等同於這些寄存模具的替換成本，若有丟失或損壞，則以同等價格賠付給甲方。

Only specially trained staff can use and operate the molds. In addition to normal wear and tear, Party B promises to maintain the storage molds in order to keep them in good condition and undertake all the costs that occurred during the keeping time. Party B should buy insurance for the storage molds when keeping or using them. The insurance amount should be equal to the replacement cost of the storage molds. If lost or damaged, Party B should compensate Party A with the mold price listed on the agreement.

4)    乙方應當對用寄存模具生產出的樣品進行檢驗，以確定這些模具是否符合甲方的工程圖紙

和規範要求。乙方必須在收到甲方的書面確認樣件合格後正式批量生產產品。

Party B should inspect the sample which is produced by the storage molds to determine whether the molds fit with the engineering drawings and specifications from Party A. Party B will start mass production after receiving the written confirmation and acceptance from Party A.

5)    乙方每月向甲方提交一份有關各模具的維護報告。報告內容應包括︰上一個月對模具進行

維護的情況以及該模具的當前狀況。

Party B should submit a monthly maintenance report about the molds to Party A. The report should include the molds maintenance conditions of last month and its current situation.

6)    未經甲方書面同意，乙方如利用或提供本約之模具為甲方以外之人加工、生產或將其生產

之產品銷售給甲方以外之任何人時，乙方須給付甲方其生產、轉售總值之十倍違約金。

If Party B uses the storage mold to process, produce or manufacture the products to sell to any person other than Party A without the written permission of Party A, Party B shall pay Party A of its production and resale value of ten times the penalty.

四、甲方可隨時取回該模具，乙方不得以任何理由扣留，否則自甲方要求取回該模具之日起，每逾期一日，按該模具總價之25%進行罰款，由甲方支付給乙方之貨款中自行扣除。如貨款不敷抵扣時，由乙方另行賠償。

Party A can take back the storage molds at any time, Party B should not detain them for any reason or from the date that Party A required to take back the molds, each overdue day, Party B shall pay the penalty of 25% of total molds cost to Party A and the penalties will be deducted from the molds keeping cost paid to Party B. If payment is insufficient to offset, Party B should pay for the compensation separately.

五、保密責任/Confidentiality

未經甲方允許，乙方不得將甲方所提供的圖紙及技術資料以口頭、書面、出示和借用的模式轉洩露給第三方。如有發生訊息洩露，甲方有權追究其法律責任。

Without the permission of Party A, Party B should not disclose the drawings and technical information which are provided by Party A in oral, written, showing and lending way to the third Party. If Party B revealed such information, Party A has the right to pursue Party B’s legal responsibility.

六、其他約定/Others

本協議受中華民國的法律法規管轄，並應依照中華民國的法律法規解釋。

The agreement shall be governed by, and interpreted in accordance with, the laws and regulations of the Republic of China.

七、除非雙方採用書面形式，否則對本協議的任何修正均屬無效。

Any amendments to this agreement shall not be valid unless made by the Parties in writing.

八、本協議一式兩份，每份皆具有同等法律效力。

This agreement is made in two original copies, both of which are equally valid.

九、本協議在雙方簽訂本協議之日立即生效。

This agreement shall take effect immediately upon the date of execution by the Parties.

十、凡涉及本協議或因本協議而發生的所有爭執，都應透過友好協商解決。如果在書面要求協商的通知發出後的三十(30)天內不能解決，則該爭執應提交乙方所在地有管轄權的法院進行裁決。

All the disputes and controversies of every kind and nature between the Parties arising out of or in connection with the agreement or the execution hereof shall be settled by friendly negotiation between the Parties. If no settlement can be reached within thirty (30) days after delivery of the written notice requesting the said negotiation, such dispute or controversy shall be submitted a competent court located in the business place of Party A for judgment.

當本協議中文文本與英文文本發生歧義時，應以中文文本為準。

The Chinese version of this agreement will prevail if there is any conflict between

the Chinese version and English version of this agreement.
